Client terms of business
Plain-English summary and client terms of business for website builds, apps and monthly care plans provided by I-OSCC Ltd to business clients.
Version 1.0 (October 2026).
1. Who these terms are for
We contract only with business clients (limited companies, LLPs, partnerships and sole traders) acting in the course of their trade, business, craft or profession. Together with your signed Order Form and our Data Processing Agreement (DPA), these terms form the contract between I-OSCC Ltd (company no. 17005013, registered office: 9 Penntiow Golf, Cott Road, Lostwithiel, PL22 0FB, email: [email protected], phone: 07908 253479) and your business.
2. Scope, packages and extra work
We will build the website and any add-on app described in your Order Form and look after it under your chosen monthly Care Plan:
- Starter (£445 build + £35/month): up to 3 pages, 30 mins updates/month, hosting, SSL, regular backups and monthly check.
- Standard (£895 build + £71/month): up to 6 pages, 1 hour updates/month, Google Business Profile upkeep, basic local search set-up and monthly report.
- Premium (£1,755 build + £134/month): up to 10 pages, 1 add-on app included (such as a quote calculator or booking set-up), 2 hours updates/month, priority support and monthly check-in call.
- Quote Calculator Add-on: £355 to build + £18/month on Starter or Standard (or included in Premium).
Anything outside your Specification or monthly allowance is quoted first and only goes ahead once agreed in writing (email is fine). Unless agreed otherwise, extra work is charged at £60 per hour (billed in 30-minute blocks, always agreed in writing first, no VAT added).
3. Prices and payment
- No VAT: I-OSCC Ltd is not currently registered for VAT, so no VAT is added to our prices. If we register for VAT in future, we will give you at least 30 days’ written notice.
- Build fee: a 50% deposit is payable before work starts. The remaining 50% balance is payable on preview sign-off, before go-live. Build payments are made by Tide invoice payment link (card, Apple Pay, Google Pay) or bank transfer.
- Monthly Care Plan: payable monthly in advance by GoCardless Direct Debit on the 1st of the month, starting on the Care Plan start date in your Order Form. An active Direct Debit mandate and the final 50% build balance must be in place on preview sign-off, before DNS changes and go-live.
- Late payment: invoices are payable within 14 days unless stated otherwise. If a payment is more than 14 days overdue, we may suspend hosting or support after giving at least 7 days’ written notice, and restore it promptly once paid.
3A. Build & Go (One-Off Handover)
- Packages: Starter Build & Go (up to 3 pages) £445 one-off; Standard Build & Go (up to 6 pages plus one-off Google Business Profile set-up) £895 one-off; Premium Build & Go (up to 10 pages) £1,755 one-off. Extra pages £95 per page. No monthly Care Plan or minimum term applies.
- Payment: a 50% deposit before work starts and the remaining 50% on preview sign-off, before the site is transferred to your own Cloudflare account. Both payments are made by Tide invoice payment link (card, Apple Pay, Google Pay) or bank transfer.
- Handover: we transfer the site to your own free Cloudflare account (Cloudflare Pages hosting, £0/month), with a simple login editor and a plain-English written guide. You pay your domain registrar directly. After transfer, you are responsible for the hosting account, domain renewals and any content you change.
- Bug-fix warranty: we fix defects in our work reported within 14 days after launch at no charge. This does not cover changes you make, new features or third-party outages.
- Ad-hoc work: optional later work is charged at £60 per hour in 30-minute blocks, always agreed in writing first. You may join a monthly Care Plan at any time.
- Custom apps (Instant Quote Calculator, Booking Set-up, Automated Enquiry Assistant) are available only with a Care Plan.
4. Your responsibilities
You agree to give us accurate business information, logos and photos that you have the right to use, and to check all facts, prices, trade memberships and legal notices on your preview site before approving go-live. We can provide template privacy and cookie notices if agreed, but you remain responsible for your own legal and sector compliance.
5. Private preview, revisions and approval
We build your site on a private preview link first. Each package includes a set number of revision rounds before go-live (Starter: 1 round; Standard: 2 rounds; Premium: 3 rounds). We will never make your site live without your written approval (email is fine). If you do not reply within 10 Business Days of a preview request, we will send a reminder before treating the stage as accepted.
6. Ownership and intellectual property
- Your domain: your domain name belongs to you. Where we register or manage it on your behalf, we will transfer it to you on request once undisputed invoices are paid.
- Your content and bespoke design: you keep ownership of all text, photos and data you supply. Once the Build fee is paid in full, we assign to you the intellectual property in the bespoke design and copy written specifically for your business.
- Reusable tools: we keep ownership of our reusable code, calculator templates and workflows, and grant you a perpetual, non-exclusive licence to use the parts built into your site for your business.
7. How we use automated and AI tools
We use automated and AI tools to speed up coding, drafting and routine checks. A person at I-OSCC Ltd checks and approves all work before it is sent to you or put live. Where you ask us to include an automated chat or enquiry assistant on your website, it will be clearly labelled as automated so visitors know they are not speaking to a person.
8. Warranties and search engines
We provide our services with reasonable care and skill. If the live site does not materially match your agreed Specification and you tell us within 30 days of go-live for Care Plan websites (or 14 days for Build & Go websites, as set out in section 3A), we will fix it free of charge. We set up clear page titles, headings and Google Business Profile details, but we never guarantee search engine rankings, traffic or sales.
9. Minimum term, cancellation and full handover
- Minimum term: Care Plans run for an initial 6-month minimum term, and then continue month to month on 30 days’ written notice.
- Early cancellation: if you cancel a Care Plan during the initial 6-month minimum term (other than for our breach), the remaining monthly fees for the minimum term apply less a 25% discount for costs we save.
- Handover when you leave: when a Care Plan ends and all sums due are paid, we will hand over your domain, static site files and content within 14 days so you can move to another host smoothly.
10. Liability and governing law
Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot lawfully be limited. Subject to that, neither party is liable for indirect loss or loss of profits, and each party’s total liability in any 12-month period is capped at the total fees paid by you in the 12 months before the claim (or £1,000 if higher). These terms are governed by the law of England and Wales.
